Please find linked a clean and redline version of proposed amendments to the Bylaws of the Energy Bar Association (“EBA”). The proposed amendments are necessary to reflect changes recommended by the EBA Board of Directors and to clean-up certain provisions since the last overall review of the Bylaws conducted over a decade ago.

Specifically, the proposed amendments fall into five general categories: 1) to revise the nomenclature used for “Associate Members” to “Student Members” and “Non-Attorney Professionals” to “Energy Professional Members”; 2) to create one non-voting seat on the Board of Directors for a Student Member and one non-voting seat on the Board of Directors for an Energy Professional Member; 3) to create an Executive Committee to permit the delegation of some limited authority as the need may arise; 4) to provide clearer explanation of existing committee and task force structure; and 5) to update and clean-up certain provisions in line with the DC Non Profit Corporation Act.

Bylaw amendments require membership approval. At its June and July 2016 meetings, the EBA Board of Directors reviewed and approved the proposed amendments to be brought to a vote of the membership.

During the EBA Mid-Year Energy Forum to be held October 16-17, 2017, at the Renaissance Washington, DC Hotel, we will be conducting a brief Member meeting to, among other things, seek approval of the proposed Bylaw amendments. That meeting is scheduled to take place during lunch on Tuesday, October 17, 2017, noon-2:00 p.m. ET.
